These Terms of Service (“Terms”) govern your access to and use of the websites, desktop applications, browser applications, software, services, AI tools, and related offerings provided by PromptVu LLC, a Utah limited liability company (“PromptVu,” “Company,” “we,” “our,” or “us”).

By accessing, downloading, purchasing, installing, or using PromptVu, you agree to be legally bound by these Terms.

If you do not agree, do not use the Services.

1. ELIGIBILITY

You must be legally capable of entering into binding agreements.

If you are using PromptVu on behalf of a company, you represent you have authority to bind that company.

2. SERVICES

PromptVu provides software that allows users to:

• create prompts
• store notes
• create scripts
• display prompts on screen
• create presenter views
• create audience views
• utilize AI-generated prompt support

PromptVu may modify features at any time without notice.

We are not obligated to maintain any feature permanently.

3. SOFTWARE PROVIDED "AS IS"

PromptVu is provided:

“AS IS”
“AS AVAILABLE”

We disclaim all warranties including:

• merchantability
• fitness for a particular purpose
• non-infringement
• uninterrupted service
• error-free service
• compatibility guarantees
• business outcome guarantees

We do not guarantee:

• increased sales
• improved presentations
• successful meetings
• revenue generation
• uninterrupted access

4. PRESENTATION RISK ASSUMPTION

Users assume full responsibility for:

• what they display
• what they share
• what appears on their screen
• what appears in audience-facing windows
• confidential information exposure
• prompt misuse
• accidental disclosure
• business losses caused by user mistakes

PromptVu is not responsible for accidental disclosure of:

• confidential information
• trade secrets
• sales materials
• client information
• regulated information
• internal company data

Users use the software entirely at their own risk.

5. NO MONITORING / NO RECORDING

PromptVu does not:

• record user screens
• record meetings
• record calls
• capture audio
• capture video
• capture passwords
• monitor browsing activity
• capture keystrokes

Users acknowledge this functionality is not part of the platform.

6. USER CONTENT

Users may input:

• prompts
• scripts
• notes

Users retain ownership of their content.

By using PromptVu, users grant PromptVu a non-exclusive license to host, store, process, and display such content as necessary to operate the platform.

Users are fully responsible for content they input.

7. PROHIBITED CONTENT

Users may not upload or input:

• illegal content
• malware
• copyrighted material they do not own
• regulated protected information without proper authority
• fraudulent content
• deceptive content

8. AI FEATURES

OpenAI powers certain PromptVu features.

AI outputs may:

• be inaccurate
• be incomplete
• contain errors
• generate poor recommendations

Users are fully responsible for reviewing AI-generated outputs before use.

PromptVu may use anonymized and aggregated data to improve its services.

9. PAYMENTS

Payments are processed through Stripe.

PromptVu does not store full payment card data.

All sales are final.

No refunds unless explicitly approved by PromptVu.

10. TERMINATION

We may suspend or terminate users at any time for:

• abuse
• fraud
• misuse
• violations of these Terms

No refund is required after termination.

11. LIMITATION OF LIABILITY

To the fullest extent allowed by law:

PromptVu’s total liability shall never exceed the lesser of:

• total fees paid by the user in the prior 12 months
  OR
• $100 USD

For free users:

PromptVu liability is capped at $0

PromptVu shall not be liable for:

• lost profits
• lost commissions
• lost sales
• business interruption
• reputational harm
• employment disputes
• data loss
• indirect damages
• consequential damages
• punitive damages

12. INDEMNIFICATION

Users agree to defend, indemnify, and hold harmless PromptVu LLC, its owners, employees, contractors, officers, and affiliates from claims related to:

• misuse
• illegal conduct
• privacy violations
• regulated data misuse
• employment disputes
• copyright violations
• customer disputes
• presentation errors

13. INTELLECTUAL PROPERTY

PromptVu retains all ownership of:

• software
• source code
• trademarks
• branding
• design systems
• platform architecture
• proprietary workflows

Users receive a limited revocable license to use the software.

Users gain no ownership rights in PromptVu IP.

14. NO SLA

PromptVu provides no uptime guarantees.

No service level agreement exists unless separately agreed in writing.

15. JURISDICTION LIMITATIONS

PromptVu is intended primarily for users in the United States.

Users accessing the platform outside the U.S. do so at their own risk and are responsible for local legal compliance.

16. MANDATORY ARBITRATION

All disputes must be resolved through binding arbitration in Utah.

Users waive rights to:

• jury trials
• class actions
• collective actions

Claims must be brought individually.

17. FORCE MAJEURE

PromptVu is not responsible for outages caused by:

• internet failures
• cloud failures
• cyberattacks
• natural disasters
• third-party service interruptions

18. CHANGES TO TERMS

We may update these Terms at any time.

Continued use constitutes acceptance.
